
“The Agency” shall mean Media Bugs registered to 14 Tootswood Rd, Bromley, Kent, BR2 0PD
“The Client”, means any person, firm or corporation who approaches the agency with a view to booking a Media Bug.
“Media Bug” means any person who is introduced or supplied by the agency with a view to carrying out work for a client.
“Booking” means the temporary employment, hire or other use, whether under a contract of service or otherwise of a Media Bug by or on behalf of the Client for a specified period of time, task or project.
The Client shall be deemed to have accepted and agreed to the Terms by the Booking of a Media Bug whether or not written confirmation of this acceptance is received by The Agency.
The Media Bug shall be deemed to have accepted and agreed to the Terms upon the commencement of a Booking whether or not written confirmation of this acceptance is received by The Agency.
Obligations of The Agency
- The Agency will use reasonable endeavours to introduce a suitable Media Bug to the Client. The Client accepts that no warranty as to the suitability of the Candidate can be given by The Agency.
- In the event that the Client notifies The Agency during a Booking that a Media Bug is unsatisfactory and the Agency is satisfied that the Client’s reasons for this are reasonable, the Agency will endeavour to provide a suitable replacement Media Bug.
- The Agency will pay each Media Bug the fees or hourly rate to which he is entitled by reason of carrying out work for the Client.
Obligations of the Client
- The Client shall specify its exact requirements by providing full details of the work for which the Media Bug is required and, in particular, by notifying The Agency of any special skills required for such work.
- The Client shall not instruct or allow any Media Bug to undertake any work other than that which has been notified by the Client to The Agency.
- The Client shall verify at the time that the Media Bug begins to render services for or on behalf of the Client that the Media Bug is suitable for the purposes for which he is required and that he has the capability to carry out the duties required. The Client shall be responsible for obtaining any work and other permits or licences and for ensuring that the Media Bug satisfies any medical requirements or other qualifications that may be appropriate or required by law.
Obligations of the Media Bug
- The Media Bug undertakes to use good health and safety practice in order to ensure his own safety during any Booking.
- The Media Bug accepts that if the Client with reasonable grounds finds the Media Bug’s work to be unsatisfactory, he may not be allowed to continue working for the remainder of the Booking and The Agency may choose to review the Media Bug’s accreditation to The Agency.
- The Media Bug is solely responsible for making all of his own payments for income tax, national insurance contributions and any other taxes he is required to pay by law.
- The Media Bug accepts that once a booking has commenced, if he chooses to not complete the agreed assignment, without valid justification, he is liable for The Agency’s fee in full for that complete assignment.
- The Media Bug must coordinate any future bookings as a result of previous work for a Client back through The Agency.
- The Media Bug is solely responsible for editing and updating his or her profile and agrees that any portfolio media posted is his or hers own work.
The Client shall pay to The Agency the hourly rate which prior to the commencement of each Booking is notified in writing to the Client by The Agency in respect of each Media Bug for the full amount of hours worked by each Media Bug together with any other expenses as may be agreed between the Client and The Agency.
The Client agrees that when a daily rate has been negotiated, that a maximum of 10 hours per day will be worked by the Media Bug. Anything over this amount will be considered over time and will be charged at 150% the standard day rate.
All monies due from the Client to The Agency shall be payable within 14 days of the date of The Agency’s invoice. All payments made from the Client to The Agency can be made cheque made payable to “Media Bugs”.
Upon receipt of cleared funds from the Client, The Agency shall deduct, and retain as its fee, 20% of the monies invoiced and then shall pay the remainder of the monies to the Media Bug.
In the event that the Client cancels a Booking after it has been confirmed to The Agency, The Agency reserves the right to invoice the Client at the following rates: Within 48 hours: 50% of total booking value; 24 hours: 70%
The Media Bug accepts that The Agency cannot be held responsible if a Client cancels a Booking and that he will only be reimbursed for this cancelled Booking if The Agency obtains cleared funds from the Client pursuant to clause 14.
The Agency accepts no liability for any loss, injury, damage, cost, expense or delay incurred or suffered by the Client or the Media Bug arising directly or indirectly from a Booking.
Once The Agency receives cleared funds from the client for the work undertaken by a Media Bug, the client retains full ownership of the product. The client has full discretion as to whether the product can be displayed on the Agency’s website and or used in the portfolio of the Media Bug who undertook the work. Issues regarding ownership of the work should be agreed between the Client, Agency and Media Bug when a booking is made.
